Paralegal – on site in Miami
Talento has partnered with a legal team on a search for a paralegal based in Brickell. This role provides comprehensive support across corporate governance, legal administration, document management, and compliance functions. The incumbent will be responsible for coordinating board and committee meetings, managing governance documentation using a newly implemented tool, and maintaining accurate corporate records and subsidiary filings. This involves drafting and reviewing a variety of legal documents, including NDA’s, service agreements, and entity filings, while ensuring consistency and version control across all legal files. In addition, the incumbent will support compliance initiatives, intellectual property matters, and employment-related legal processes. This role is ideal for a detail-oriented professional as it plays a key role in supporting the legal department’s operations, workflows, and strategic initiatives.
Responsibilities
- Coordinate board and committee meetings, including scheduling, agenda preparation, and materials distribution.
- Utilize board management platforms (e.g., Diligent) to manage meetings and governance documents.
- Draft and maintain corporate governance materials such as resolutions, meeting minutes, and charters.
- Support subsidiary management, including corporate formations, state filings, and compliance tracking.
- Maintain organized, up-to-date corporate records; assist in developing tools to track legal KPIs and department workflows.
- Draft, review, and manage NDAs, engagement letters, service agreements, and similar commercial documents.
- Prepare and file business entity documentation for corporations, LLCs, and partnerships across multiple jurisdictions.
- Ensure consistency and version control across all legal files and corporate documentation.
- Coordinate company-wide compliance programs and employee training initiatives.
- Assist with intellectual property filings and trademark registrations.
- Support employment-related documentation and HR legal processes.
- Conduct legal research and provide assistance on special projects as needed.
Requirements
- Bachelor’s degree or equivalent experience.
- Minimum 3 years of relevant corporate paralegal experience; in-house legal department exposure strongly preferred.
- Background in corporate, real estate, infrastructure, or business law.
- Proven experience supporting board governance, subsidiary management, and corporate secretarial functions.
- Prior experience supporting or managing office logistics is a plus.
- Technologically savvy across MS Suite, SharePoint, and document management systems.
- Excellent verbal and written communication skills.
