Corporate Counsel

Talento has partnered with a global organization to identify a Corporate Counsel to support a broad range of commercial, corporate, and operational legal matters across a complex business environment. This role will serve as a strategic legal partner to cross-functional teams, providing guidance on contracts, compliance, risk management, corporate governance, and business operations. The ideal candidate is business-minded, collaborative, and experienced in managing legal risk while supporting operational growth in a fast-paced environment.

Responsibilities

  • Draft, review, negotiate, and manage a variety of complex commercial agreements, including purchasing, distribution, logistics, vendor, and service contracts.
  • Partner closely with procurement, operations, finance, technology, and other cross-functional teams to provide practical legal guidance and support day-to-day business activities.
  • Advise leadership on legal risks, compliance matters, corporate governance, and strategic business initiatives.
  • Support the development and implementation of internal legal policies, compliance programs, and contract management processes.
  • Assist with dispute resolution matters, including contractual disputes, regulatory matters, and litigation support in coordination with external counsel when needed.
  • Provide legal support related to corporate structure, intellectual property, taxation, regulatory compliance, and other general corporate matters.
  • Develop and maintain template agreements, legal playbooks, and internal contract review procedures to improve operational efficiency.
  • Build and maintain strong relationships with vendors, partners, and key stakeholders to facilitate negotiations and resolve issues effectively.
  • Support corporate governance activities, filings, and business registrations as required.
  • Collaborate with leadership and business teams to balance legal considerations with operational and commercial objectives.

Requirements

  • Juris Doctor (J.D.) degree from an accredited law school and active admission to practice law in at least one U.S. jurisdiction.
  • Florida Bar membership preferred.
  • 3–5+ years of experience practicing law within a corporate legal department, law firm, or relevant business environment.
  • Strong experience drafting, reviewing, and negotiating commercial contracts and transactional agreements.
  • Excellent analytical, communication, negotiation, and business advisory skills.
  • Ability to work effectively in a fast-paced, evolving, and highly collaborative environment.
  • Strong organizational skills with the ability to manage multiple priorities and deadlines simultaneously.
  • Business-oriented mindset with the ability to assess and balance legal and commercial risk.
  • Proven ability to build relationships and influence stakeholders across all levels of an organization.
  • Experience supporting supply chain, distribution, logistics, food & beverage, retail, or similarly complex operational environments is a plus.
